General information only
This website is operated by Voicedrop Pty Ltd ACN 681 925 851 as trustee for The Voicedrop Business Trust, trading as Independent Business Valuations (ABN 95 280 049 220) (“IBV”, “we”, “us” or “our”).
The information on this website is general and educational only. It is not:
- A business valuation or valuation report;
- Financial-product or investment advice;
- Legal, taxation or accounting advice;
- Audit or assurance;
- Insurance advice;
- Business-broking or transaction advice; or
- A recommendation to buy, sell, hold, finance or insure any business, asset or financial product.
You should obtain advice appropriate to your circumstances before acting on website content.
No professional engagement
Using this website, submitting an enquiry, downloading information or participating in an initial discussion does not create a client or professional relationship with IBV.
An engagement begins only when IBV has accepted the matter and the scope, purpose, fees and terms have been agreed in writing.
A valuation is provided only through a completed report or other deliverable expressly issued by IBV under those agreed terms.
Nature and limits of valuations
A business valuation is an estimate or opinion formed:
- For a specified purpose;
- At a specified valuation date;
- Using an identified basis and premise of value;
- From the information available; and
- Subject to the scope, assumptions, qualifications and limitations stated in the report.
A valuation is not a statement of fact, guarantee of sale price or assurance that a transaction will occur at the assessed value. Different purposes, dates, assumptions, information or scopes of work may produce different conclusions.
Any examples, multiples, ranges, case studies, calculators or indicative figures on this website are illustrative only and are not valuations of any actual business.
Information supplied
IBV may rely on information supplied by clients, management, accountants, advisers and other third parties.
Unless expressly agreed otherwise, IBV does not audit or independently verify all information provided. Incomplete, inaccurate, outdated or omitted information may materially affect a valuation.
Forecasts and future financial information are inherently uncertain. Actual results may differ from assumptions or projections used in a valuation.
Australian Financial Services Licence notice
IBV does not hold an Australian Financial Services Licence and is not an authorised representative of an Australian Financial Services licensee.
IBV confines its services to valuation work and does not provide financial-product advice or any other financial service requiring an AFS licence or authorisation.
IBV does not:
- Recommend whether a person should acquire, dispose of or hold a financial product;
- Recommend or compare shares, units, securities, managed investments, superannuation or insurance products;
- Advise whether a financial product is suitable for a person;
- Arrange, negotiate or execute transactions in financial products; or
- Receive commissions based on the acquisition or disposal of a financial product.
Where IBV values shares, units, securities or another ownership interest, the work is limited to an estimate or opinion of value for the purpose stated in the engagement terms and report.
It is not a recommendation to acquire, dispose of or hold that interest.
Shares, managed-investment interests, superannuation and insurance products can be financial products under the financial-services regime. ASIC’s guidance also explains that a recommendation, opinion or report may constitute financial-product advice when it is intended—or could reasonably be regarded as intended—to influence a decision about a financial product.
Clients should obtain advice from an appropriately licensed financial adviser before making a financial-product or investment decision.
Other professional advice
Unless expressly agreed in writing, IBV does not provide:
- Legal advice;
- Taxation advice;
- Accounting or financial-statement advice;
- Audit or assurance;
- Insurance-product advice; or
- Recommendations concerning finance or investment products.
- Litigation related valuations.
A valuation prepared for taxation, accounting, insurance or lending purposes does not determine the legal, taxation, accounting, insurance or regulatory outcome. Responsibility for those matters remains with the client and their appropriately qualified advisers.
Professional status and valuation guidance
IBV and its principal are not members of CPA Australia and are not sponsored, endorsed, approved or regulated by CPA Australia.
Where appropriate to an engagement, IBV may have regard to recognised valuation principles and guidance reflected in:
- APES 225 Valuation Services;
- APES GN 20 Scope and Extent of Work for Valuation Services; and
- Other relevant Australian or international valuation guidance.
References to those materials do not mean that:
- IBV is a CPA Australia member;
- IBV is accredited by APESB;
- APES 225 applies to IBV as a mandatory member standard; or
- CPA Australia or APESB has reviewed or approved an IBV valuation.
APES 225 is framed as a professional standard for members of professional bodies that have adopted it, while APES GN 20 assists those members in determining an appropriate scope of work and evidence.
Use and reliance on reports
A valuation report may be used only:
- For its stated purpose;
- By its identified client and permitted users; and
- Subject to the engagement terms, assumptions, qualifications and limitations contained in the report.
A report prepared for one purpose should not be used for another purpose. No third party may rely on an IBV report without IBV’s prior written consent.
Confidentiality and privacy
IBV handles client information confidentially, subject to:
- The agreed terms of engagement;
- The client’s consent;
- Applicable laws, court orders and regulatory requirements;
- Disclosure to professional advisers, insurers, contractors or service providers where reasonably necessary; and
- IBV’s Privacy Policy.
IBV does not promise absolute confidentiality where disclosure is legally required.
Website accuracy and liability
IBV takes reasonable care in preparing website content. However, website content is general information only and IBV does not represent or warrant that it is complete, current, error-free or suitable for any particular person, business, purpose or transaction.
To the maximum extent permitted by law, IBV excludes liability for any loss arising out of or in connection with:
- Access to, use of or inability to use this website;
- Reliance on any general information, example, estimate, multiple, range, calculator, checklist or other website content; or
- Any action taken or not taken on the basis of website content.
Nothing in this disclaimer excludes, restricts or modifies any consumer guarantee, statutory right, remedy or liability that cannot lawfully be excluded, restricted or modified.
This disclaimer applies only to this website and its general content. It does not establish or alter the terms of any professional engagement.
Any valuation engagement is governed exclusively by the Engagement Letter accepted by the Client, the General Terms of Engagement expressly incorporated into that Engagement Letter, and the assumptions, qualifications and limitations stated in the final Report. Any agreed limitation or cap on IBV’s liability applies only as provided in those accepted engagement documents.
