Key takeaways
Define the employee’s security before calculating any ownership percentage
Employee share schemes, often shortened to ESS, can offer shares, options or other rights with very different economic outcomes. Obtain the plan documents and complete ownership table, then clarify distribution rights, exercise terms and dilution before translating a promised percentage into a value for the employee.
Check valuation method conditions before claiming start-up concession support
Simplified valuation methods for unlisted shares relate to the employee share scheme start-up concession, not every employee equity offer. Ask your adviser to check the applicable instrument, grant date, eligibility and method conditions rather than treating low accounting net assets as automatic justification.
Keep underlying share value distinct from option value
An option’s exercise price and the value of the underlying share answer different questions from the option’s own economic value, which may depend on time and uncertainty. Confirm the instructed purpose with your adviser, because evidence supporting a tax pricing condition may not satisfy accounting valuation requirements.
Interpret investor funding prices through the rights investors receive
Investors in a funding round may receive priority payments, conversion rights or protections that employees’ ordinary shares do not carry, making the headline price misleading. Review the ownership structure and distribution outcomes, including dilution and funding needs, before using that transaction to value the employee’s interest.
Preserve offer-date evidence and label each valuation purpose clearly
Employee equity valuations depend on the capital structure, rights and information relevant to the instructed date, and some methods require specific governance evidence. Retain approved offers and supporting inputs, review intervening changes, and keep tax, accounting and negotiation figures distinct rather than assuming one report answers every question.
Identify the instrument and purpose
Employee equity may involve ordinary shares, another share class, options or rights with conditional features. The valuation brief should identify the instrument, relevant date and whether the evidence is intended for tax, accounting or commercial use. These purposes may require different assumptions, so a single generic company valuation should not be assumed to satisfy every scheme requirement.
Collect the scheme terms
Provide plan rules, offer documents, capitalisation tables, governing agreements and financial forecasts where relevant. Exercise prices, vesting conditions, expiry, conversion rights and exit provisions may affect value. Legal advisers should clarify how the instrument operates, especially where its economic entitlement depends on hurdles or events that are not apparent from the headline ownership percentage stated in the offer.
Assess both business and security features
The underlying business value may be one input, but allocating that value across instruments can require further analysis. Recent funding transactions need to be considered alongside the rights investors received. Option or conditional-interest work may require a specialised method, and suitability should be confirmed rather than treating every employee instrument as an ordinary share with a simple proportional value.

Signed
A clear valuation conclusion starts with an agreed purpose, relevant evidence and disclosed assumptions. The report identifies the interest valued and explains the reasoning behind its conclusion.
Explain assumptions and limitations
The report should identify the instrument valued, information date, selected method and material inputs. It should distinguish company-level assumptions from instrument-specific terms and document reliance on forecasts or external evidence. Where the instruction does not include a particular tax concession test or accounting measurement, that exclusion should be explicit so the output is not reused beyond its intended purpose.
Leave scheme compliance with advisers
A valuation does not confirm scheme eligibility, employee tax outcomes or compliance with plan, disclosure or reporting requirements. Your accountant and lawyer should confirm applicable rules and any permitted valuation approach. For a straightforward private holding, share and unit valuation may be relevant, but employee instruments need their own terms reviewed before scope and suitability are confirmed.
Identify the employee security, not a headline company percentage
An employee offer can involve ordinary shares, growth shares, options or rights whose economics differ materially. Start with the actual instrument and the taxing or reporting question identified by the adviser. The underlying company value is only one input: exercise price, distribution priorities, hurdles and conversion terms can determine what the employee's interest is worth.
Supply the plan rules, individual offer, constitution, shareholder agreement and current capitalisation table. Include preference shares, convertible notes and existing options rather than only issued ordinary shares. A promise described commercially as one per cent of the company may be calculated on an undiluted, fully diluted or exit-specific basis. Clarify that denominator before deriving any per-share value.
Treat safe harbours as conditional methods, not universal approval
The ATO's current safe-harbour guidance addresses unlisted share valuation for the ESS start-up concession. It refers to legislative instrument LI 2025/19, commencing on 1 October 2025, which replaced the earlier 2015 instrument. Do not rely on an old checklist without checking the applicable instrument and grant date.
The methods are not a blanket valuation shortcut for every employee equity arrangement. The adviser must separately assess start-up concession eligibility and whether the selected method's conditions are satisfied. The ATO identifies a comprehensive method and a net tangible asset method with their respective requirements. A low net asset balance does not automatically justify ignoring valuable intellectual property or applying the simplified method outside its conditions.
Distinguish share value from option value
For the start-up concession, the ATO describes different pricing conditions: qualifying share offers involve a discount not exceeding 15% of market value, while qualifying options require an exercise price at least equal to the market value of the underlying shares when the option is acquired. These statements do not determine whether the arrangement satisfies every concession condition.
An option can have economic value even if its exercise price equals the underlying share value. Time to expiry, volatility, distributions and exercise restrictions can matter when an option valuation is required for another purpose. Do not confuse a share valuation supporting an exercise-price condition with a complete option fair-value assessment. Accounting expense measurement may therefore require separate modelling and assumptions from the tax instruction.
Interpret funding rounds through investor rights
A recent capital raising is useful evidence only after identifying what investors bought. Preference investors may receive liquidation priority, conversion rights, anti-dilution protection or other benefits absent from employee ordinary shares. Multiplying the latest subscription price by every issued share can overstate the value attributable to junior interests.
Prepare a rights waterfall showing distributions under plausible exit outcomes and reconcile it to the capitalisation table. Review convertible instruments, future funding needs and dilution assumptions. Forecasts should be linked to operating capacity and funding availability rather than management's preferred exit target. Where early-stage outcomes are highly uncertain, describe scenario assumptions and sensitivity instead of presenting an unsupported precise per-share amount as settled market evidence.
Preserve grant-date governance and purpose boundaries
Keep the board-approved offer, valuation inputs and capital structure effective at the instructed date. The comprehensive method described by the ATO includes written board endorsement, so governance evidence can be part of the method rather than an optional administrative extra. Confirm the instrument's full conditions before claiming that a particular method is available.
Record intervening funding rounds, material contracts and changes to rights between the valuation and acquisition dates. Ask whether the original assessment remains suitable if the offer changes. A report does not determine the employee's deferred taxing point, establish that all restrictions receive a tax valuation discount or satisfy accounting requirements automatically. Keep tax market value, accounting fair value and commercial negotiation figures separately labelled, with adviser review of the applicable scheme treatment.
Scope, fees and timing
See our fixed-fee valuation packages and confirm the scope and fee before commissioning work. Confirm the purpose, intended users, information requirements and inclusions in a written engagement before work begins. Calculated Value and Limited Scope delivery is 5–7 business days from complete financial information and a signed engagement. Full Conclusion timing is confirmed individually in the engagement letter. Specialist requirements or changes to the instruction may affect suitability and timing; confirm these before relying on an external deadline.

Frequently asked questions
Are you valuing the company or the employee’s actual instrument?
The brief should identify the actual shares, options or rights and the purpose of the measurement. Company value is often only a starting input. Exercise prices, share classes and contractual features can change the employee instrument’s economics, so a headline company valuation should not be treated as the answer for every scheme participant.
Is the grant date always the right valuation date for an ESS?
No single date answers every ESS question. A start-up concession assessment may focus on acquisition, while other tax or accounting instructions can require different dates. Ask your adviser to nominate the event, instrument and applicable rules before work begins, rather than automatically reusing the date on a board presentation.
What scheme documents should we provide before a valuation?
Supply the plan rules, offer terms, capitalisation table, constitution, shareholder agreements and financial information. For options, include exercise price, expiry and vesting terms. Recent funding documents are useful because the rights investors received may differ from employee shares. Missing instrument terms can prevent a meaningful conclusion even when company accounts are complete.
Can we just use the price from our latest funding round?
A recent transaction can be useful evidence, but its relevance depends on timing and the rights attached to the securities issued. Investors may receive preferences or protections not available to employees. The valuation should consider those differences and intervening business changes rather than mechanically applying the funding price to every share class.
Are options worth the same as the shares they can acquire?
No. An option is a right with its own exercise price, term and conditions, not immediate ownership of the underlying share. The underlying share value may be an input to option analysis. Confirm whether you need that share value, an option value or both, and whether specialised modelling is within the agreed scope.
Can every private company use an ESS safe-harbour method?
Do not assume so. The ATO describes approved methods for the ESS start-up concession, with conditions and documentation requirements. Your adviser should check the current instrument and whether the company and proposed offer qualify. A general valuation report should not be labelled a safe-harbour valuation simply because the shares are unlisted.
Does the valuation prove our employees qualify for the start-up concession?
No. Valuation evidence addresses only the questions within its scope. Company, employee and scheme conditions require separate tax and legal assessment. Ask advisers to check the proposed offer against the applicable rules, including relevant pricing conditions, before communicating a concession outcome or promising a particular tax result to employees.
Can one ESS report also satisfy our financial reporting requirements?
Only if both purposes are expressly scoped and the relevant measurement requirements are addressed. A tax market value assessment and an accounting share-based payment measurement may use different assumptions or subjects. Tell us who will review the report and obtain your accountant’s instructions before assuming one conclusion can be reused unchanged.
What happens if we raise capital before the employee offer is issued?
Tell the valuer and your advisers before relying on the earlier report. New funding, altered share rights or revised forecasts may affect the evidence relevant to the required date. The previous conclusion is not automatically valid for a later offer simply because the company’s name and employee plan have not changed.
What do we need to settle before scheduling an ESS valuation?
Confirm the instrument, purpose, acquisition or other required date, and whether safe-harbour or specialist option work is requested. A Fixed Professional Fee is agreed upfront. Delivery is normally 5–7 business days after complete records and a signed engagement; the proposed offer deadline alone does not determine delivery. This 5–7 business-day timetable applies to Calculated Value and Limited Scope only; Full Conclusion delivery is confirmed individually in the engagement letter.
