Key takeaways
Identify trust property without inventing fixed beneficiary ownership shares
A discretionary trust’s business value does not mean each potential beneficiary owns an equal saleable share of its assets. Separate trust property, any fixed interests and enforceable claims, and ask the solicitor to clarify the legal rights before allocating values or assuming an amendment changes ownership.
Trace beneficiary balances to the documents creating each obligation
Similar ledger descriptions can represent unpaid entitlements, loans, contributions or drawings with different legal consequences for the trust’s value. Obtain resolutions, agreements and payment records, and ask advisers to review proposed releases or transfers instead of treating every balance as interchangeable debt between family members.
Check tax status rather than relying on family labels
Calling an arrangement a family trust does not establish its status under the tax rules relevant to a restructure. Obtain election records and adviser instructions about ownership continuity, because a valuation cannot create an election or prove that statutory family-group requirements are satisfied by ordinary family relationships.
Model the business that remains after assets move
Moving premises or business assets out of a trust can change the costs and resources available to its continuing operations. Document future leases, licences and staffing arrangements, then reconcile retained assets and consideration so earnings reflect the new structure and goodwill is not counted twice.
Link the valuation to the effective deed and documents
A trust valuation depends on the rights created by the deed and transaction documents effective at the relevant date, not merely today’s consolidated paperwork. Keep an indexed document trail and obtain legal clarification of changes, because assumed continuity does not establish freedom from capital gains tax or duty consequences.
Map the legal arrangement
A family trust restructure needs a map of trust property and legal rights, not an assumed percentage allocation between family members. Identify the business assets, company shares, fixed interests and beneficiary balances affected by the proposed steps. Your solicitor should clarify what the deed permits and which enforceable rights exist; your accountant identifies the tax measurements. The valuation then addresses those specified economic interests without inventing saleable ownership rights for discretionary beneficiaries.
Read the deed and transaction documents
Provide the trust deed and relevant amendments, entity charts, ownership registers and draft transaction documents. Financial statements and beneficiary or related-party loan accounts may also be relevant. Legal advisers should clarify the rights to be assumed for valuation purposes, particularly where discretion, restrictions or uncertain documentation prevents a straightforward interpretation of the interest being assessed.
Assess the instructed assets and interests
Where the subject is a business or ownership holding, analysis considers earnings, assets, liabilities and the rights attached to that holding. Internal arrangements should be understood before attributing value across entities. The assessment must not silently allocate the whole trust estate to individual beneficiaries or treat accounting balances as market values without an appropriate instruction and supporting evidence.

Signed
A clear valuation conclusion starts with an agreed purpose, relevant evidence and disclosed assumptions. The report identifies the interest valued and explains the reasoning behind its conclusion.
Provide step-specific valuation evidence
A report can identify the interests assessed, relevant dates and assumptions for each agreed step. Supporting schedules should help advisers connect values to the proposed documents while identifying exclusions. If the restructure changes during implementation, the instruction may need review, especially where a different asset, ownership class or transaction sequence replaces the arrangement originally described to the valuer.
Do not certify tax treatment
The valuation does not determine trust law consequences, CGT outcomes or duty relief. Your accountant and solicitor must assess those matters under applicable law. Related-party transfer valuation or CGT rollover support may be relevant, but neither establishes eligibility or creates a new cost base merely because market value evidence has been obtained.
Identify trust assets without inventing beneficiary percentages
A discretionary trust may own a valuable trading business, but that does not mean each potential beneficiary owns an equal saleable fraction of its assets. Distinguish a valuation of property held by the trustee from a valuation of a legally identified interest. Changes to appointor, trustee or beneficiary provisions should be described by the solicitor before the valuer assumes what economic rights have changed.
Prepare separate schedules for the trust estate, fixed units if any, beneficiary loan accounts and other enforceable claims. A beneficiary distribution history is evidence of past administration, not automatic proof of a fixed entitlement to future capital. If the legal character of an interest is disputed, obtain alternative instructed assumptions rather than letting a valuation model silently decide the trust law question.
Reconcile beneficiary balances to underlying documents
Trust accounts can contain unpaid entitlements, loans, capital contributions and drawings with similar-looking ledger descriptions. Their legal treatment can affect the trust's liabilities and the value of assets or interests being transferred. Obtain resolutions, distribution statements, loan agreements and payment records, not merely the latest trial balance.
Trace each balance to the correct person or entity and identify whether interest, repayment or subordination terms apply. A proposed release, assignment or capitalisation changes the transaction and needs its own documentation. If a private company is involved, ask the tax adviser to consider any Division 7A implications. The valuer should not assume that every unpaid amount is interchangeable debt or that netting across family members is legally effective.
Keep family trust status separate from ordinary language
Calling an arrangement a family trust does not establish its status for a particular tax provision. The ATO's restructure guidance includes requirements concerning genuine business restructuring and ultimate economic ownership. Discretionary trusts require specific consideration under the applicable rules; family trust elections and the relevant family group may be material to the adviser's analysis.
Request the election history and the adviser's explanation of the ownership assumptions to be used. Do not allocate values among family members solely to make a proposed ownership continuity schedule balance. A market valuation cannot create an election, retrospectively change its effect or prove that all statutory family-group requirements are satisfied. Preserve the distinction between a commercial family relationship and the defined tax concepts.
Value what remains after assets are separated
A restructure may move property out of the trading trust while leaving the business in place, or transfer business assets to a company while the trust retains shares. Model the continuing lease, licence and service arrangements. The post-transfer operating earnings should reflect the actual cost of accessing premises, intellectual property and staff.
Where goodwill is transferred, identify which customer contracts, branding, systems and workforce arrangements accompany it. Personal relationships attached to a beneficiary may not move as a legally owned trust asset. Avoid valuing goodwill once through capitalised earnings and again as an unexplained additional asset. Reconcile the pre-restructure estate to the assets retained, consideration received and obligations discharged so advisers can trace any apparent movement of value.
Retain a deed-to-implementation audit trail
Build an indexed pack containing the original deed, amendments, trustee and appointor changes, ownership registers, transaction drafts and executed documents. Link each valuation subject to the document that creates or transfers the relevant right. For historical instructions, retain the deed version effective at the valuation date rather than relying only on the current consolidated wording.
Ask the solicitor to identify whether a proposed amendment or transfer has consequences requiring a different valuation date or subject. A conclusion based on assumed continuity cannot establish that no CGT event or duty issue arises. Likewise, the genuine-restructure examples in ATO ruling LCR 2016/3 do not provide blanket approval for family succession arrangements. Report gaps and legal assumptions clearly so that valuation evidence is not mistaken for trust-law or tax clearance.

Frequently asked questions
What exactly is valued when we move a business into a family trust?
Start with the assets and interests your solicitor says will actually move. The subject might be operating assets, company shares or trust units, rather than the entire family group. We scope those subjects separately and identify retained property, loans and other exclusions so your advisers can connect the report to the proposed documents.
Can you value each beneficiary’s share of a discretionary trust?
Do not assume each beneficiary owns a fixed percentage of the trust assets. Ask your solicitor to explain the relevant rights under the deed and any amendments before commissioning an interest valuation. A business held by the trustee can be valued, but dividing that figure equally among beneficiaries may misrepresent their legal and economic position.
Which date should we use for the trust restructure?
Ask your tax adviser and solicitor to identify the date needed for each transaction step. A proposed transfer date may differ from the latest accounts date or the date the report is signed. If implementation is delayed or the transfer sequence changes, check whether the instructed dates and evidence remain appropriate.
What trust records should we gather before asking for a quote?
Bring the deed and amendments, an ownership chart, draft transfer steps, financial statements and related-party balance schedules. Identify the trustee and any companies or unit trusts involved. Your lawyer should clarify uncertain rights; the valuer needs a reliable description of the asset or interest rather than an informal family understanding.
Will a valuation make our trust restructure eligible for rollover?
No. Market value evidence does not establish eligibility for the small business restructure rollover or any other relief. Your tax adviser must assess the applicable conditions, including genuine restructuring and ultimate economic ownership requirements where relevant. The valuation supplies evidence for the specified question, not a certification that moving assets into a trust is tax-free.
Are beneficiary loans included in the business value?
Provide the loan ledgers and supporting agreements rather than treating every balance as an ordinary expense. Loans may affect the bridge from operating business value to the interest being transferred, or require separate treatment. The report should explain inclusions and exclusions so advisers do not count the same economic value twice.
Can the same figure be used for CGT and state duty?
Possibly, but only after your advisers confirm that the subject, date and valuation basis meet both requirements. A tax valuation is not automatically a complete duty submission. Ask your solicitor to specify the relevant jurisdiction and any additional asset evidence before relying on one report for several transaction steps.
Does passing control to our children count as a genuine restructure?
That is a tax advice question, not something a favourable valuation can settle. The ATO’s ruling distinguishes genuine business restructuring from arrangements such as some succession or disposal plans. Explain the commercial objectives and changes in ownership to your adviser before the valuation brief is finalised, rather than assuming family continuity satisfies the rules.

What if we change the trust transaction after receiving the report?
Send the revised transaction map to your advisers and ask whether the report still addresses the correct subject and date. A change in assets, share rights or consideration may require additional analysis. A report about one transfer should not quietly be reused as evidence for a materially different arrangement.
How do we start without commissioning unnecessary trust valuations?
First obtain an adviser-prepared list of transfers, interests and dates, then request a written scope. A Fixed Professional Fee is agreed upfront. Standard delivery is 5–7 business days after complete records and a signed engagement. Extra entities or specialist assets should be identified before work begins. This 5–7 business-day timetable applies to Calculated Value and Limited Scope only; Full Conclusion delivery is confirmed individually in the engagement letter.
