Key takeaways

  1. Identify the specific rollover before commissioning valuation work

Different capital gains tax rollover arrangements can require different assets, ownership conditions and measurement dates, so a generic rollover valuation may miss the question. Ask your tax adviser to identify the provision and map each transfer and replacement interest before deciding what the valuer must assess.

  2. Reconcile transferred assets with the replacement shares received

A business transferred for shares may not have the same value as the securities received once debt, existing owners and different share rights are considered. Obtain the full ownership and funding structure, showing separate loans and liabilities rather than forcing the exchange to balance through unexplained goodwill.

  3. Separate replacement securities from cash and other consideration

An exchange involving both replacement securities and cash may require different tax treatment for its components, depending on the arrangement and applicable rollover rules. Prepare a schedule of quantities, rights and payment terms, leaving your adviser to determine eligibility, any partial relief and tax cost allocation.

  4. Preserve historical tax costs alongside current market value evidence

A rollover may preserve or reallocate historical tax amounts rather than replace them with current market values, even where assets have appreciated. Keep acquisition records and separate accounting, valuation and tax schedules so the receiving entity does not automatically import commercial values into its tax register.

  5. Check final documents against the valuation and rollover assumptions

Changes to recipients, share rights, debt, cash payments or transaction order can make a report’s assumed structure different from the completed deal. Compare the final documents with the valuation instructions and seek updated advice, because matching business values alone does not establish ownership continuity or rollover eligibility.

Let the tax advice define the need

A proposed rollover does not make market value and tax cost interchangeable. Ask your accountant to identify the specific provision, each asset transferred and the replacement shares or other consideration received. The valuation must address the subjects and dates required by those instructions. Keep the market-value analysis separate from historical cost records and eligibility advice, because an exchange with matching commercial values does not itself establish rollover relief.

Describe the steps and consideration

Supply structure charts, draft agreements, ownership details and the proposed sequence of transfers. Identify shares, units, debt or other consideration issued as part of the arrangement. A clear transaction map helps distinguish the value of an asset transferred from the value of an ownership interest received, which may require separate analysis rather than a single substituted figure.

Assess the relevant interests consistently

The valuation may consider operating earnings, underlying assets and the rights of any shares or units involved. Related-party balances and overlapping assets require attention when several entities participate. Assumptions should be consistent with the confirmed transaction steps, and any difference between historical carrying amounts and assessed value should be explained without drawing unsupported tax conclusions from that difference.

Deliver evidence rather than a tax calculation

The report should set out the subjects, dates, methods and material assumptions, with schedules linking conclusions to the agreed instruction. Your accountant can then decide how those values enter the relevant statutory analysis. The valuation does not itself establish an asset’s tax cost base or imply that the assessed market value replaces an existing tax amount.

Review changes before implementation

If ownership percentages, consideration or transaction order change, ask whether the valuation brief remains suitable. Legal and tax advisers should confirm the final requirements before relying on the report. Wider arrangements may call for business restructure valuation, while trust-specific steps can be considered through family trust restructure valuation, with each scope tied to actual advice.

Name the rollover before choosing the valuation subject

A small business restructure rollover, an asset transfer to a company and a scrip-for-scrip exchange are not interchangeable concessions. They can require different ownership conditions, consideration and tax calculations. Ask the tax adviser to identify the particular provision and explain which values are needed, rather than commissioning a generic report described only as a rollover valuation.

Map each asset disposed of and each replacement interest acquired. Distinguish the transferring entity, ultimate owners and recipient entity. If several steps occur, identify whether the measurement is required before an asset transfer, after a share issue or at another statutory point. One agreed commercial completion date does not necessarily answer every tax measurement question in the sequence.

Compare the economics of assets and replacement securities

Where assets move in return for shares, the value of the transferred business and the value of the shares received need reconciliation. Existing debt, pre-existing shareholders and different classes can affect that bridge. A newly issued security with restricted distribution rights is not automatically worth the same as an ordinary share with the same nominal capital.

Obtain the post-transaction capitalisation table, rights attaching to each class and the full funding structure. Identify whether liabilities transfer with the assets or remain with the former owner. If a shareholder loan is created as part of the exchange, show it separately. Avoid making the model balance by assigning all unexplained value to goodwill or assuming the consideration must equal market value because advisers drafted the documents.

Analyse cash and scrip components separately

Scrip-for-scrip transactions can include replacement securities and cash or other consideration. The ATO's guidance explains that eligibility and the scope of rollover depend on the arrangement, with additional rules for particular ownership situations. The adviser must determine any partial rollover and the associated cost-base allocation; the valuer's task is to support the instructed economic measurements.

Prepare a consideration schedule identifying security quantities, relevant values, cash payments and contingent amounts. Retain the exchange terms and the rights of the replacement instruments. Do not assume that an exchange ratio proves equal market values, particularly where different share classes participate. A published transaction announcement may omit restrictions, escrow or preference rights that matter to the actual holding being assessed.

Keep market values out of tax registers unless instructed

Rollover commonly involves preserving or reallocating historical tax amounts rather than substituting current market value for every asset. A report showing increased goodwill or property value therefore does not by itself support a general tax cost uplift. The receiving entity's tax register should follow the adviser's statutory calculation, not an automatic import of the valuation schedule.

Maintain an asset crosswalk with separate identifiers for accounting amounts, market values, original tax records and replacement interests. Retain acquisition dates and cost records even where no immediate gain is recognised. Where one asset is split among several replacement holdings, the adviser should document the allocation basis and the values used. Precision in the valuation cannot compensate for missing historical cost evidence.

Test continuity and implementation changes explicitly

For the small business restructure regime, ATO guidance refers to genuine restructuring of an ongoing business and continuity of ultimate economic ownership. Those are legal conditions, not conclusions established by matching pre-transfer and post-transfer business values. A change in economic rights may matter even when the same family controls all entities.

Before relying on a report, compare the final documents with the valuation assumptions: recipients, share classes, debt, cash consideration and transaction order. Explain any departure and assess whether new valuation work is needed. A conditional report should not be recast as evidence about a different completed deal. Rollover availability, elections, anti-avoidance provisions, later disposal treatment and any duty relief remain matters for the appropriately qualified advisers.

Scope, fees and timing

See our fixed-fee valuation packages and confirm the scope and fee before commissioning work. Confirm the purpose, intended users, information requirements and inclusions in a written engagement before work begins. Calculated Value and Limited Scope delivery is 5–7 business days from complete financial information and a signed engagement. Full Conclusion timing is confirmed individually in the engagement letter. Specialist requirements or changes to the instruction may affect suitability and timing; confirm these before relying on an external deadline.

Frequently asked questions

Do I need a valuation for every CGT rollover?

Not necessarily. Different rollover provisions require different evidence, so ask your accountant to identify the provision and the precise valuation question first. A report might address transferred assets, replacement interests or another specific measurement. Commissioning a general business value before that advice can leave important statutory questions unanswered.

Does the market value become the new tax cost base?

Not automatically. Market value and tax cost base are different concepts, and a rollover may preserve or otherwise determine tax amounts under its own rules. We report the instructed valuation conclusion; your accountant applies the relevant provisions. Do not enter the report’s figure as a replacement cost base without that advice.

What transaction details does the valuer need for rollover support?

Provide before-and-after ownership charts, draft agreements, the transfer sequence and details of cash, debt, shares or units exchanged. Identify which assets remain behind. This lets the scope distinguish what leaves one entity from what another party receives, rather than assuming all parts of the restructure have the same value.

Can one valuation cover several transfers on different dates?

It can be scoped as a coordinated assignment, but each required date needs appropriate evidence. Trading changes, distributions, new debt or altered ownership rights can change the result between steps. Agree a schedule of subjects and effective dates with your accountant instead of applying one undated figure across the arrangement.

Will you confirm that our small business restructure is genuine?

The valuation does not provide that confirmation. Your tax adviser assesses the commercial facts against the applicable rules and ATO guidance, including whether the arrangement is a genuine restructure of an ongoing business. Explain any planned sale or ownership change early because a valuation cannot cure an ineligible transaction.

Why might the replacement shares need separate analysis?

Replacement shares carry their own rights, restrictions and exposure to assets and debt. Their value may not equal a simple percentage of the transferred operating business. Supply the proposed share terms and capital structure so the scope can distinguish the business being moved from the particular interests received in exchange.

What if historical book values differ sharply from market value?

That difference does not itself demonstrate an error or create a tax entitlement. Book figures, tax amounts and market value answer different questions. The report should explain the methods and evidence supporting the assessed value, while your accountant separately reconciles accounting records and applies the relevant rollover and cost-base rules.

Can a valuation establish that ultimate economic ownership stays unchanged?

It may help quantify interests, but it does not settle the legal or tax test. Your adviser needs to trace who ultimately owns the assets and consider applicable special rules, including trust arrangements. Provide ownership documents and proposed changes rather than relying on matching dollar values as proof that the condition is met.

What happens if the rollover is unavailable after we obtain the report?

Ask your tax adviser to reconsider the transaction consequences and whether the existing valuation still answers the required question. The report may remain useful evidence, but its subject, date or basis could need revision. Obtaining it does not make rollover automatic or protect you from a tax liability arising under the actual arrangement.

What should we agree before booking rollover valuation work?

Have your accountant identify the provision, subjects and dates, then agree the deliverables and exclusions. The Fixed Professional Fee is agreed upfront. Allow 5–7 business days after complete records and a signed engagement. Any revised transaction steps should be reviewed before you rely on the report. This 5–7 business-day timetable applies to Calculated Value and Limited Scope only; Full Conclusion delivery is confirmed individually in the engagement letter.
