Define the Sydney business interest you need valued

An operating business, an ownership holding and a group of related entities are not interchangeable. For a Sydney valuation, identify where revenue is earned, which entity owns the assets and what rights accompany the interest. A trading address alone does not tell a buyer or adviser what is included.

IBV™ provides an independent report signed by Dr Patrick Hillenbrand, AVI Certified Business Valuer, with the IBV™ Independence Guarantee and a Fixed Professional Fee agreed in writing. Voluntary APES 225 alignment informs the engagement and reporting approach; the report still needs a defined purpose, date, evidence and permitted reliance.

Separate city-centre context from each site's actual market

City of Sydney business information covers its local government area, not every business across Greater Sydney. A suburban practice, an industrial operation and a city-centre outlet may serve different customers even when all describe themselves as Sydney businesses.

For multiple sites, prepare a schedule of addresses, customer catchments, revenue, direct costs and lease terms. Reconcile the schedule to consolidated accounts and explain how shared management, marketing and administrative costs are allocated. Avoid making a profitable branch look stronger by leaving its central support costs elsewhere.

Use relevant local information to test an assumption, then show how it connects to actual customers, utilisation or contracts. A city-wide growth narrative is not a substitute for evidence that your own business can capture demand profitably.

Clarify premises, equipment and the proposed transfer

A sale may involve an operating business, shares, premises interests, fixtures or equipment in different combinations. Identify the transaction boundary before adding asset values to an earnings-based assessment. Equipment used to generate the assessed earnings may already be reflected in that basis; it should not automatically be added twice.

Revenue NSW's business-purchase guidance explains that duty questions can arise for particular transferred assets or interests. Ask your adviser to confirm treatment for the actual agreement; the valuation is not a duty assessment. Provide leases, assignment provisions, asset registers and ownership details so the report and legal work address the same proposed transfer.

A clear valuation conclusion starts with an agreed purpose, relevant evidence and disclosed assumptions. The report identifies the interest valued and explains the reasoning behind its conclusion.

Hypothetical Sydney scenario: buying one branch of a group

Suppose a fictional buyer wants one branch from a group with shared staff, purchasing and software. The branch's accounts appear profitable, but some essential services are supplied by head office without a branch charge. This scenario is illustrative, not a report of an IBV engagement.

Assess what the branch would need to operate independently: replacement support, licences, systems and working capital. Check which customer contracts and premises arrangements can transfer, with legal interpretation supplied by the relevant adviser. A conclusion based on the seller's entire group economics may not answer the value question for the standalone branch.

A business acquisition valuation should be scoped around the actual subject. If shares rather than selected operations are involved, use a share or unit valuation brief that identifies rights, funding balances and other assets and liabilities.

Organise records around the decision, not just the year-end accounts

For a sale, provide the proposed asset boundary and evidence of sustainable trading. For an ownership exit, include the agreement and rights attached to the holding. For CGT work, obtain your accountant's date-specific instructions before selecting records.

Bring management accounts, reconciliations, leases, debt schedules and explanations of owner duties or unusual transactions. Identify forecast assumptions separately from established results. A signed report should explain how the financial evidence, business risks and scope support the conclusion; it does not promise a sale price or third-party acceptance.

Standard delivery is generally 5–7 business days after complete information and a signed engagement are received.

We serve Sydney owners through document review and scheduled discussions. Any required site visit or specialist assessment is agreed separately. Tax, legal and transaction advice remains with your professional advisers; a valuation does not guarantee acceptance by an authority or a particular sale price.

Sydney business resources

These resources combine City of Sydney support with NSW transaction guidance. Council information covers the City of Sydney local area, not all Greater Sydney; businesses outside it should consult their own council. Your own records remain the basis for the valuation.

Support within the local council area

City of Sydney business support and funding brings together business resources, permits, learning opportunities and grants. Use it to identify local operating requirements or support relevant to premises within the council area.

Understanding the city economy

City of Sydney business and economy information describes the local economy and council priorities. Use this as context for city-based operations without applying its coverage to every suburban branch or customer market.

Preparing for an ownership exit

NSW Small Business Commissioner’s exit guidance describes exit options including sale, transfer and merger. For a Sydney business with several entities or sites, clarify exactly what would change hands before commissioning a valuation.

Checking the transfer’s duty treatment

Revenue NSW’s business-purchase guidance explains which aspects of a business purchase may attract transfer duty. If property or other relevant assets accompany the sale, have your adviser distinguish them from assets that are not dutiable.

Frequently asked questions

How do separate Sydney shop leases affect a multi-site valuation?

Assess each premises separately before combining results. Record rent, outgoings, options, incentives and material obligations alongside site earnings. Where NSW retail leasing rules apply, the tenancy guide provides useful context. The analysis should reflect actual occupancy arrangements rather than assume every location has equally secure or affordable premises.

What if selling a Sydney business depends on transferring its retail lease?

Provide the lease, disclosure records and correspondence about landlord consent. NSW guidance describes a formal transfer process where retail leasing rules apply. The valuation should disclose unresolved premises assumptions and their commercial implications; your solicitor should confirm the applicable process and transaction requirements.

Should all Sydney outlets receive identical earnings adjustments?

Not necessarily. Prepare site accounts showing revenue, staffing, occupancy and direct expenses, then explain adjustments individually. A purchasing benefit may support several outlets while an unusual repair affects only one. Consistent analysis means applying the same evidential discipline, not identical adjustments regardless of operating circumstances.

How are head-office costs shared between Sydney sites?

Start with consolidated expenses and document how they support each site. Appropriate allocation drivers depend on the service provided. Reconcile allocations to the accounts and distinguish genuine savings from redistributed charges. Removing an internal charge does not remove the external staff or services behind it.

Does a recognisable Sydney address automatically create goodwill?

No. Examine why customers return and whether demand could continue under different ownership. Repeat purchasing, referrals and brand evidence can help. A desirable address may support trade, but distinguish its benefits from personal relationships, lease advantages and separately owned property instead of assuming location establishes transferable goodwill.

What if Sydney premises are owned outside the trading company?

Identify the property owner and the interest being valued. The business may require a supported rental assumption while property remains outside scope. Explain related-party occupancy and avoid counting property value as business goodwill. Separate property expertise may be needed if a real-estate opinion is required.

How does valuing Sydney company shares differ from valuing its operations?

Share valuation considers the company’s funding, other assets and the rights of the holding as well as operating value. Provide the group structure, loans and governing documents. Explain the bridge from operating value to equity and the specific interest rather than simply apply an ownership percentage.

Can a new Sydney outlet use an established outlet’s results as its forecast?

Established sites provide context, not proof of identical performance. Compare customer acquisition, rent, staffing and capacity; distinguish actual trading from forecasts. Explain the evidence supporting the expected maturity profile and test slower development where it could materially affect the conclusion.

What evidence matters for a founder-dependent Sydney practice?

Provide practitioner revenue, referral patterns, staffing arrangements and examples of customer handovers. Assess replacement management or professional costs and whether relationships attach to the business or individual. Sustainable earnings should reflect required resources after transition, with retention uncertainty disclosed rather than hidden.

What should a Sydney site schedule show in the valuation report?

Connect material sites to earnings, occupancy, staffing and shared costs, reconciling them to consolidated accounts. The report should identify the subject, date, methods, assumptions and limitations. Readers should be able to understand how site evidence supports the conclusion rather than receive an unexplained combined figure.
